Terms of Use

1. Overview of Services

The Platform connects experienced traders (“Traders”) with users who wish to view trading information, including trade positions, strategies, and market insights. Users may subscribe to Traders and pay fees to access their content. Traders may receive a revenue share of these fees in accordance with our Trader Agreement.

2. Account Registration

• You agree to provide accurate, current, and complete information;
• You are responsible for maintaining the confidentiality of your account credentials;
• You are fully responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Eligibility

• You are at least 18 years of age or the legal age of majority in your jurisdiction;
• You have full legal capacity to enter into a binding agreement;
• If registering as a Trader, you possess sufficient trading experience and knowledge to provide valuable insights.

4. User Types

4.1. Subscribers (Users)

• Browse Traders and subscribe to their content;
• View trading information published by Traders;
• Cancel subscriptions at any time (fees are non-refundable unless otherwise stated).

4.2. Traders

• Publish trade positions, signals, and market insights;
• Earn revenue from user subscriptions according to our Trader Revenue Sharing Policy;
• Must comply with all applicable laws, including financial and trading regulations.

5. Content Guidelines

You are responsible for any content you submit or publish via the Platform. You agree not to post or transmit:

• False, misleading, or deceptive information;
• Unauthorized investment advice;
• Content that violates laws or the rights of others;
• Malicious software or harmful content.

We reserve the right to remove or moderate content at our discretion.

6. Subscription Fees and Payments

6.1. For Subscribers:

• Subscription fees are charged on a recurring basis unless cancelled;
• You authorize us to charge your payment method on file;
• No refunds will be issued after payment is processed, except as required by law.

6.2. For Traders:

• Traders receive a portion of the subscription fees (details outlined in the Trader Agreement);
• Payouts are subject to verification, thresholds, and applicable fees;
• Traders are responsible for reporting and paying their own taxes.

7. Disclaimer of Financial Advice

We do not provide financial or investment advice. The content on the Platform is for informational and educational purposes only and should not be construed as trading or investment advice.

You acknowledge and agree that:

• Past performance is not indicative of future results;
• Trading involves risk, and you may lose capital;
• You are solely responsible for your trading decisions.

8. No Fiduciary Relationship

Your use of the Platform does not create a fiduciary relationship between you and us, or between you and any Trader. Traders are independent content creators, not employees or agents of the Company.

9. Intellectual Property

All content on the Platform, including logos, trademarks, UI elements, and platform software, is owned by or licensed to PositionPort, LLC. You may not:

• Copy, modify, distribute, or display our content without authorization;
• Use any data mining or scraping tools on our Platform.

Traders retain ownership of their original trading content but grant us a license to display, distribute, and promote it within the Platform.

10. Termination

• If you violate these Terms;
• If required by law;
• For conduct that harms other users, Traders, or the Company.

You may delete your account at any time by contacting support.

11. Limitation of Liability

To the maximum extent permitted by law, PositionPort, LLC and its affiliates shall not be liable for:

• Any direct or indirect losses resulting from your use of the Platform;
• Errors or inaccuracies in trading information;
• Loss of profits, data, or reputation.

Our total liability to you for any claim shall not exceed the total amount paid by you to us in the past 3 months.

12. Indemnification

You agree to indemnify and hold harmless PositionPort, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from:

• Your use of the Platform;
• Your violation of these Terms;
• Your violation of any third-party rights.

13. Modifications

We may revise these Terms from time to time. When we do:

• We will update the “Last Updated” date above;
• Continued use of the Platform constitutes acceptance of the new Terms.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy.

15. Dispute Resolution

Any disputes shall be governed by the laws of New York, USA, without regard to its conflict of law principles.

• All disputes shall be resolved through good-faith negotiations;
• If unresolved, binding arbitration in New York, NY.

16. Miscellaneous

• These Terms constitute the entire agreement between you and us;
• If any provision is held to be unenforceable, the remainder will continue in full force;
• Our failure to enforce any provision does not waive our right to do so later.
